Terms of Service

1. Acceptance

By creating an account or using PodPast.ai (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and PodPast.ai ("Company", "we", "us").

2. User representations

By using the Service, you represent and warrant that:

• You are at least 18 years old or the age of majority in your jurisdiction.
• You have the legal right to ingest the content you add to the Service. This includes having the right to access, process, and store transcript data derived from that content for personal, private use.
• You will not use the Service to ingest content that you do not have the right to access or that is subject to a confidentiality obligation.
• The information you provide during registration is accurate and complete.

3. License grant to PodPast.ai

By adding content to the Service, you grant PodPast.ai a limited, non-exclusive, royalty-free license to access, transcribe, chunk, embed, and store the transcript data derived from that content solely for the purpose of providing the Service to you. This license is limited to the operation of your private vault. PodPast.ai does not acquire any ownership interest in your content or transcripts, does not use your content to train AI models, and does not share your content with other users.

4. Vault privacy

Your vault — including all feeds, transcripts, and vector embeddings — is private by default and is not accessible to other users. Any future feature that would allow sharing vault content will require explicit opt-in from the account holder. Transcript data is not made publicly accessible by PodPast.ai.

5. Prohibited uses

You may not use the Service to:

• Ingest content that you do not have the right to access.
• Distribute, resell, or publicly republish transcript content in violation of the original copyright holder's rights.
• Circumvent technical measures protecting third-party platforms (e.g., bypassing YouTube's terms of service).
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service infrastructure, other users' vaults, or the backend API.
• Use automated means to abuse the Service (excessive API calls, scraping, denial-of-service).

6. Intellectual property

The Service, including the software, algorithms, user interface, and branding, is owned by PodPast.ai and protected by copyright and other applicable intellectual property law. These Terms do not grant you any rights to PodPast.ai's intellectual property except the limited right to use the Service as described herein.

7. DMCA and copyright

PodPast.ai complies with the Digital Millennium Copyright Act. Copyright holders may submit takedown notices to dmca@podpast.ai. See our DMCA Policy for the complete procedure, counter-notice process, and repeat infringer policy.

8. Repeat infringer termination

PodPast.ai will terminate the accounts of users determined to be repeat copyright infringers, consistent with 17 U.S.C. §512(i). Determination of repeat infringer status is made at PodPast.ai's sole discretion based on valid DMCA notices received.

9. Payments and refunds

Paid plans are billed monthly or annually via Stripe. You may cancel at any time; access continues until the end of the current billing period. Refunds are available within 7 days of the first paid charge if fewer than 100 Deepgram minutes were consumed. Annual plans are refunded on a pro-rated basis within 30 days of purchase. 10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PODPAST.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TRANSCRIPT ACCURACY IS NOT GUARANTEED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODPAST.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF PODPAST.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PODPAST.AI'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PODPAST.AI IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to these Terms

PodPast.ai reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
